Deputy General Counsel, Corporate and Secretary of the University

Carolyn Domen-Broshears joined the Office of the General Counsel in 2007.  She was appointed Deputy General Counsel, Corporate and elected Secretary of the University in 2018.  As Deputy General Counsel, Corporate, Ms. Domen-Broshears oversees a wide range of transactional matters including those related to acquisitions and affiliations, real estate and construction, gifts, USC Athletics, and financing.  She also provides legal support and advice on nonprofit tax issues (including executive compensation and conflicts of interest), department of public safety matters, University policies, and political activity and lobbying issues.  In her role as Secretary of the University, she ensures the preparation and maintenance of corporate records and filings for the University and its subsidiaries and oversees corporate governance matters for the University’s Board of Trustees and subsidiaries.

Prior to joining USC, Ms. Domen-Broshears was an associate with the Los Angeles office of Paul Hastings LLP, where she practiced in the firm’s corporate department focusing on international transactions.

Ms. Domen-Broshears graduated from the University of California, Berkeley in 1990 with a B.A. in English with high honors and earned her J.D. from the USC Gould School of Law in 1997.  Prior to attending law school, she spent two years at the National University in Hiroshima, Japan on a research scholarship from the Japanese Ministry of Education.  She is a member of the California State Bar, the Los Angeles County Bar Association, and the National Association of College and University Attorneys.
