Interim Managing General Counsel and Secretary of the University
Carolyn Domen-Broshears joined the Office of the General Counsel in 2007. She has been serving as Secretary of the University since her election in 2018 and was appointed Interim Managing General Counsel in July 2025. As Interim Managing General Counsel, Ms. Domen-Broshears manages the day-to-day operations of the Office of the General Counsel. She advises the senior leadership team on various legal matters and continues to oversee the transactional practice group in the Office of the General Counsel. As Secretary of the University, Ms. Domen-Broshears works closely with the university’s Board of Trustees, advising on corporate governance matters and conflicts of interest while ensuring the preparation and maintenance of corporate records and filings for the University and its subsidiaries.
Prior to joining USC, Ms. Domen-Broshears was an associate with the Los Angeles office of Paul Hastings LLP, where she practiced in the firm’s corporate department focusing on international transactions.
Ms. Domen-Broshears graduated from the University of California, Berkeley in 1990 with a B.A. in English with high honors and earned her J.D. from the USC Gould School of Law in 1997. Prior to attending law school, she spent two years at the National University in Hiroshima, Japan on a research scholarship from the Japanese Ministry of Education. She is a member of the California State Bar and the National Association of College and University Attorneys.
